I. Introduction

These Terms and Conditions (“Terms”) govern your use of the Voceo mobile and web application (“App”) and all related services operated by Voceo (“Voceo,” “we,” “us,” or “our”). By accessing or using the App, you agree to these Terms. If you do not agree, do not use the App or any Voceo services.

II. Eligibility and Accounts

To access our courses and content, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You may not share, sell, or transfer your account to another person. If we suspect unauthorized use or a security breach, we may suspend or terminate your account.

III. Subscription and Payments

Voceo operates on a subscription basis. By subscribing, you authorize us (and our payment processor, such as Stripe) to charge the applicable subscription fee to your selected payment method. Subscription fees and terms may change at our discretion. Any price changes will take effect after notice to you (for example, via email or within your account settings).

a. Cancellation — You may cancel your subscription at any time through your account settings. Upon cancellation, future billing will cease immediately, and you will retain access until the end of your current billing period.

b. Refunds — All payments are final. We do not offer refunds or credits for partial months or unused periods, except where required by applicable law.

c. Free Trials and Founding Members — From time to time, Voceo may offer free trials or lifetime access offers to certain users. Founding member lifetime access may apply only to specific courses (such as the Spanish Level 1 course) and not to all future courses, features, or mobile app functionality. We reserve the right to modify or discontinue free access programs at our discretion.

IV. Intellectual Property

All content within the App—including but not limited to videos, lessons, text, audio, images, graphics, software, and course materials—is the property of Voceo and protected by copyright, trademark, and other intellectual property laws. You may use Voceo content solely for your personal, non-commercial educational use. You may not: copy, reproduce, distribute, modify, or publicly display any Voceo content; share your account or access credentials with others; sell, rent, sublicense, or otherwise exploit our content for commercial purposes; or reverse-engineer or otherwise attempt to extract source code from our platform. Any unauthorized use of Voceo content may result in termination of your account and legal action.

V. Acceptable Use

You agree not to use the App or our services to: engage in any unlawful, harmful, or abusive activity; attempt to disrupt or interfere with the operation of the App; access or use another user's account without permission; upload or transmit malware, spam, or harmful code; or violate any applicable laws or regulations. We reserve the right to suspend or terminate your access if you violate these Terms.

VI. Availability and Service Modifications

We strive to keep the App available at all times, but we cannot guarantee uninterrupted or error-free operation. Voceo may modify, update, or discontinue parts of its services at any time without prior notice. We are not responsible for any loss of access, data, or functionality that results from maintenance, updates, or technical issues.

VII. Limitation of Liability

To the fullest extent permitted by law, Voceo, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use our services. Our total liability to you for any claim related to these Terms shall not exceed the amount you paid (if any) for the subscription during the twelve (12) months preceding the claim.

VIII. Disclaimers

Voceo provides its educational content “as is” and “as available.” We do not guarantee that our courses will meet your learning goals or that the App will be free from errors or interruptions. Voceo disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

IX. Third-Party Services

The App may include integrations or links to third-party services (such as Stripe or social media platforms). We are not responsible for the privacy practices, content, or performance of these third-party services. Your use of such services is governed by their respective terms and policies.

X. Termination

We may suspend or terminate your account and access to our services at any time if you violate these Terms, engage in fraudulent or harmful behavior, or as required by law. Upon termination, your right to access our services immediately ceases.

XI. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

XII. Indemnification

You agree to indemnify, defend, and hold harmless Voceo and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of our App, your violation of these Terms, or your infringement of any third-party rights.

XIII. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, policies, or applicable law. When we make updates, we will revise the “last updated” date at the top of this page. Continued use of the App after such changes constitutes your acceptance of the revised Terms.
